1. Orders
1.1 WFSA reserves the right to withdraw, amend, or cancel any quotation prior to acceptance. Quotations are valid for seven (7) days unless otherwise stated.
1.2 WFSA may withdraw quotations due to market conditions beyond its control.
1.3 Orders for non-standard, made-to-order, cut-to-length, or manufactured items may not be cancelled once accepted and are payable in full.
1.4 A minimum deposit of seventy-five percent (75%) is required unless credit terms are approved. Balance payable prior to delivery or collection.
1.5 All drawings and specifications must be supplied and approved with the order.
2. Deliveries
2.1 Delivery timelines commence from the later of:
2.1.1 Cleared payment;
2.1.2 Receipt of a valid purchase order; or
2.1.3 Receipt of all required information.
2.2 Delays caused by the Customer will be for the Customer’s account.
2.3 WFSA shall not be liable for delays due to force majeure events including war, strikes, load shedding, material shortages, or equipment failure.
2.4 Offloading is the Customer’s responsibility unless otherwise agreed.
2.5 Standing time exceeding two (2) hours may be charged.
2.6 Additional delivery costs may apply if delivery conditions change.
3. Prices & Payment
3.1 WFSA reserves the right to adjust prices prior to order acceptance or where increases in input costs occur before manufacturing commences.
3.2 Interest at prime +2% applies to overdue accounts.
3.3 Goods remain property of WFSA until paid in full.
3.4 ATM deposits attract a 2% handling fee.
3.5 Outstanding balances must be settled within 7 days of notification.
3.6 No manufacturing, processing, scheduling, or allocation of stock will take place until funds have fully cleared in WFSA’s bank account.
3.7 Proof of payment does not constitute cleared funds.
4. Product, Design & Quality
4.1 The Customer is responsible for correct specifications.
4.2 WFSA is not liable for installation-related damage.
4.3 Products are manufactured according to approved specifications.
4.4 All products are subject to industry-accepted manufacturing tolerances and applicable SANS/EN standards where applicable.
4.5 VL, LD and Econo products:
4.5.1 Supplied as-is (voetstoots)
4.5.2 No warranty on lifespan or performance
4.5.3 Intended for non-structural use
4.5.4 The Customer acknowledges these products are priced accordingly and selected at their own risk.
4.6 Environmental exposure and corrosion are not covered.
5. Cancellations
5.1 Standard cancellations incur a 15% fee.
5.2 Non-standard or manufactured items incur 100% cancellation.
6. Lead Times
6.1 General
6.1.1 Lead times apply only where stock is unavailable.
6.1.2 Lead times refer to manufacturing only and exclude delivery.
6.1.3 Lead times are estimates based on factory loading and material availability.
6.2 Commencement
6.2.1 Lead times start only once:
Cleared payment received
Purchase order received
All specifications received
6.2.2 POP does not start lead time.
6.3 Standard Manufacturing Lead Times – Working days are defined as Monday to Friday, excluding public holidays.
6.3.1 Standard panels (Swartz Grey): 14–21 working days
6.3.2 Non-standard panels (2.0m / 2.1m / 2.4m): 21–28 working days
6.3.3 Posts, stays & gates: Painted: 10–15 working days, Galvanized: 15–21 working days.
6.4 Special Colours shall be considered a non-standard production run
6.4.1 Special colours include but are not limited to: Green, Saturn Black & Any non-standard colour.
6.4.2 These carry an additional 7 working days.
6.5 Delivery (Separate)
6.5.1 Delivery is scheduled after manufacturing and payment.
6.5.2 Vehicles booked 48–72 hours in advance.
6.5.3 Delivery occurs within 3–5 working days.
6.5.4 Delivery lead times are estimates and may vary based on route planning, load consolidation, and operational requirements.
6.6 Delays
6.6.1 Lead times exclude delivery and offloading.
6.6.2 Delays may occur due to:
Load shedding
Material shortages
Equipment breakdowns
6.7 Nature of Lead Times
6.7.1 Lead times are estimates only.
6.7.2 WFSA is not liable for delays within reasonable limits.
7. Storage & Collection
7.1 Goods stored free for 2 weeks after notification.
7.2 Storage fees apply thereafter.
7.3 Goods must be inspected within 48 hours.
7.4 WFSA reserves the right to invoice for goods not collected within the specified period.
8. Returns & Refunds
8.1 Returns allowed within 7 days on standard stock.
8.2 20% handling fee may apply.
8.3 No returns on non-standard or manufactured items.
8.4 Refunds processed within 5 working days.
8.5 All returns are subject to inspection and approval by WFSA.
9. Risk & Ownership
9.1 Risk passes on delivery or collection.
9.2 Ownership remains until full payment.
9.3 WFSA shall not be liable for any damages arising after delivery, including during offloading where not conducted by WFSA.
10. General
10.1 These terms apply to all transactions.
10.2 WFSA may amend these terms at any time.
10.3 South African law applies.
10.4 Acceptance of quotation constitutes acceptance of these terms.
11. Consumer Protection Act
11.1 These terms do not limit CPA rights where applicable.
