TERMS AND CONDITIONS OF SALE & USE

(Including WFSA Projects & WFSA Manufacturing)

Welcome to Wholesale Fencing SA (“WFSA”). These Terms and Conditions govern the use of our website (https://wsfafrica.com/) and apply to all quotations, orders, sales, manufacturing, and deliveries.

By accessing our website or placing an order, you agree to be bound by these Terms and Conditions. If you do not agree, please refrain from using our services.

1. Definitions

  • “WFSA”, “Company”, “We”, “Us”: Wholesale Fencing SA (Pty) Ltd and its divisions
  • “Customer”, “Client”, “You”: ব্যক্তি or entity purchasing goods/services
  • “Goods”: All fencing products, steel, wire, or manufactured items
  • “CPA”: Consumer Protection Act 68 of 2008

2. Website Use & Intellectual Property

2.1 Cookies

We use cookies to improve user experience. By using our website, you consent to this.

2.2 Intellectual Property

All website content is owned by WFSA. You may not:

  • Republish, sell, or rent material
  • Copy or reproduce content for commercial use
  • Frame or alter website presentation without permission

2.3 User Comments

We reserve the right to remove inappropriate or unlawful content.

3. Orders & Quotations

3.1 Quotations are valid for 7 days unless stated otherwise.
3.2 WFSA may amend or withdraw quotations due to market conditions.
3.3 Orders for custom, non-standard, or manufactured goods cannot be cancelled once accepted and are payable in full.
3.4 A minimum 75% deposit is required unless credit terms are approved.
3.5 Balance must be paid before delivery or collection.
3.6 Orders only proceed once all of the following are received:

  • Cleared payment
  • Purchase order (if applicable)
  • Approved drawings/specifications

3.7 Acceptance of a quotation or payment constitutes full acceptance of these Terms.

4. Prices & Payment

4.1 Prices exclude VAT and may change based on material costs.
4.2 Orders are processed only after cleared funds reflect in WFSA’s account.
4.3 Proof of Payment (POP) is not considered cleared funds.
4.4 Interest on overdue accounts: Prime +2% per annum, calculated monthly.
4.5 ATM/cash deposits incur a 2% handling fee.
4.6 Outstanding balances must be settled within 7 days of notification.

5. Lead Times & Manufacturing

5.1 Lead times are estimates only and apply to manufacturing, not delivery.
5.2 Lead times commence only after:

  • Cleared payment
  • Purchase order
  • All specifications received

5.3 Standard lead times (working days):

  • Standard panels: 14–21 days
  • Non-standard panels: 21–28 days
  • Posts & gates: 10–21 days depending on finish

5.4 Special colours add +7 working days.

5.5 Delays may occur due to:

  • Load shedding
  • Material shortages
  • Equipment breakdowns
  • Force majeure events

WFSA is not liable for such delays.

6. Deliveries & Site Access

6.1 Delivery scheduling occurs after manufacturing and payment.
6.2 Delivery typically takes 3–5 working days after dispatch scheduling.
6.3 Delivery is subject to route planning and load consolidation.
6.4 The Customer is responsible for offloading, unless otherwise agreed.
6.5 WFSA vehicles are not equipped with cranes unless specified.
6.6 Standing time exceeding 2 hours may be charged.
6.7 Customers must ensure safe and accessible delivery conditions.
6.8 Additional costs may apply if delivery conditions change.

7. Free Delivery Promotion (If Applicable)

7.1 Applies to orders over R6,000 (incl. VAT) at WFSA’s discretion.
7.2 Limited to 30km radius from nearest branch.
7.3 Based on shared-load deliveries only.
7.4 Excludes urgent, dedicated, restricted access, or after-hours deliveries.

8. Product, Design & Quality

8.1 The Customer is responsible for correct specifications.
8.2 Products are manufactured according to approved drawings.
8.3 Industry tolerances apply (thickness, coating, weight, colour).

8.4 VL, LD & Econo Products

  • Supplied voetstoots (as-is)
  • No warranty on lifespan or performance
  • Intended for non-structural or low-load use
  • Purchased at Customer’s risk

8.5 WFSA is not liable for:

  • Installation damage
  • Environmental corrosion (coastal, chemical, etc.)

9. Risk & Ownership

9.1 Risk passes upon delivery or collection.
9.2 Ownership remains with WFSA until full payment is received.
9.3 WFSA is not liable for damage during customer-controlled offloading.

10. Returns, Refunds & Cancellations

10.1 Returns accepted within 7 days for standard stock (unused).
10.2 Returns may incur a 20% handling fee.
10.3 No returns on custom or manufactured goods.
10.4 Cancellations:

  • Standard orders: 15% fee
  • Custom orders: 100% fee

10.5 Refunds:

  • Processed within 5 working days via EFT only
  • Subject to inspection and approval
  • Bank confirmation required

11. Storage & Collection

11.1 Free storage for 2 weeks after notification.
11.2 Storage fees apply thereafter.
11.3 Goods must be inspected within 48 hours of receipt.
11.4 WFSA may invoice goods not collected within the required period.

12. Liability & Indemnity

12.1 WFSA is not liable for indirect or consequential damages.
12.2 Website information is provided without warranties.
12.3 The Customer indemnifies WFSA against claims arising from:

  • Incorrect specifications
  • Customer designs
  • Third-party use

13. Consumer Protection Act

13.1 These Terms do not limit rights under the CPA where applicable.

14. General

14.1 These Terms apply to all transactions with WFSA.
14.2 WFSA reserves the right to amend Terms at any time.
14.3 South African law governs this agreement.
14.4 Acceptance of any quotation or order confirms agreement to these Terms.
